The agreement between you and AdZoo — covering shopper use, business memberships, billing and liability.

1. Agreement to these terms

These Terms of Service are a binding agreement between you and AdZoo governing your use of AdZoo.shop and related services. By browsing deals or creating a business account you agree to them, along with our Privacy Policy, Cookie Policy and Acceptable Use Policy. If you do not agree, do not use AdZoo.

2. What AdZoo is — and is not

AdZoo is a marketplace where member businesses publish their own offers. We are not the seller. We do not manufacture, stock, price, fulfil, honor or refund any advertised item or service. Every transaction is directly between you and the business. Prices, availability, inventory counters and expiry times are supplied by the business and can change or sell out at any moment.

3. Shopper accounts and use

You must be at least 13 years old to use AdZoo. Saved deals and preferences are stored for your convenience. You agree not to scrape, resell, mirror or bulk-extract listings, or to interfere with the service.

4. Business memberships and billing

Businesses post deals under a recurring membership. Plans are priced by how many deals you keep running at once, with additional rates for businesses operating more than one location and negotiated pricing at enterprise scale. Current prices are shown on the Membership page and are incorporated into these terms by reference.

  • Memberships renew automatically each billing period (monthly or annual) until cancelled.
  • You may cancel at any time up to 1 day before renewal; access continues through the end of the paid period.
  • Fees already paid are non-refundable except where required by law or expressly stated in writing.
  • Adding locations mid-cycle is prorated; removing locations takes effect at the next renewal.
  • We may change pricing with at least 30 days' notice before it affects your renewal.
  • Taxes are your responsibility where applicable. Failed payments may lead to suspension of your listings.

5. Invite offers and founding rates

Some businesses join through a private invite link that carries a discounted rate, such as a founding-member rate for a limited number of businesses in a launch city. These offers are invite-only, are not advertised publicly, and are subject to these terms.

  • An invite offer applies only while spots remain on that link and only to the plan named on it. Spots are claimed in the order storefronts are created.
  • A storefront set up for you by an AdZoo rep must be claimed within 7 days of the link being issued. After that the link stops working and the offer lapses; we may re-issue it at our discretion.
  • Founding offers that include a free period require a payment method on file when you claim the storefront. Nothing is charged during the free period, the membership converts to the stated monthly rate automatically at the end of it, and you may cancel at any time before then at no cost.
  • A founding rate holds for the stated promotional period (for example, 60 days free followed by the stated monthly rate) as long as your membership stays continuously active and in good standing.
  • If you cancel, let payment lapse, or your account is suspended for a policy violation, the promotional rate ends and standard pricing applies on your next renewal.
  • Invite offers cannot be combined, transferred, resold or applied retroactively to periods already billed.
  • We may end or change an unclaimed invite offer at any time; already-claimed rates are honored for their stated period.

6. Fair use of the deal grid

So the grid stays fresh and no single member crowds out local shops, each business may have a limited number of deals live or in review at the same time, set by their membership plan. Expired or removed deals free a slot immediately, and moving to a higher plan raises the limit. There is no limit on how many deals you can post over time.

7. Business content and warranties

If you post a deal, you represent that you are authorized to act for that business, that the offer is genuine and honored at the locations listed, and that your listing is accurate — including price, terms, inventory count, expiry date, keywords and photos.

  • You own or have permission to use every image, logo, trademark and description you upload.
  • You grant us a worldwide, non-exclusive, royalty-free licence to host, resize, cache, display, index and promote your listings on AdZoo, in search results, and in AdZoo social or email promotion, for as long as they are live plus a reasonable archival period.
  • You will honor a published deal as advertised, or withdraw it before shoppers rely on it.
  • Bait pricing, fake scarcity counters, false expiry pressure, and stock photos that misrepresent the item are prohibited and are grounds for immediate removal without refund.
  • You are responsible for complying with advertising, consumer-protection, pricing and tax laws that apply to your business.
  • Every ad asks whether it promotes or features an alcoholic beverage. If you answer yes, you represent that your business is legally permitted to advertise and sell alcohol and holds a valid, current licence for what the deal describes, that the promotion complies with all applicable alcohol advertising laws and is not directed toward minors, that you will check ID at 21+, and that the listing follows the Alcohol rules in the Acceptable Use Policy. We record that confirmation with your account and the date.

8. Verification and moderation

We may verify that an applicant genuinely represents the business it claims — through payment details, business email domains, public business listings or manual review — but verification is a best effort, not a guarantee. We may remove listings, suspend or terminate accounts at our discretion, including for inaccurate offers, complaints, chargebacks or violations of the Acceptable Use Policy.

9. AI features

Search understanding, listing suggestions and image assistance may be produced by AI systems. Output can be wrong or incomplete. A business remains fully responsible for reviewing and approving any AI-assisted listing before it is published, and shoppers should confirm details with the business before travelling.

10. Ambassador program

Anyone with an AdZoo account can apply to become an ambassador and earn a recurring commission for businesses they refer. Applying does not create employment, agency or partnership — ambassadors are independent and speak only for themselves, never for AdZoo.

  • You must be at least 18 years old, legally able to receive payment, and not an employee or contractor of AdZoo.
  • Applications are reviewed manually. We may approve, decline, pause or close an ambassador account at our discretion.
  • Commission is 10% of the eligible amount actually collected on qualifying recurring monthly memberships referred through your link, for as long as that business stays subscribed and in good standing. Discounted, prepaid, annual, founding-rate and negotiated enterprise plans are not commissionable.
  • Attribution follows the referral link: the referred business must sign up through your link within the tracking window and must be new to AdZoo. Self-referrals, businesses you own or control, and accounts you create yourself do not qualify.
  • Commission is calculated on the amount collected after discounts, refunds and taxes. Refunds, chargebacks, disputes and cancellations reverse the related commission.
  • Earnings are held for a short review period before becoming available, and are paid manually once your balance clears the published minimum payout and we have the payment and tax details we need.
  • Before your first payout we require a completed IRS Form W-9 (or Form W-8 if you are outside the US) so we can report payments, and we verify that the legal name and taxpayer identification number match IRS records. Payouts stay on hold until that paperwork is on file and verified. Send tax forms only through the secure channel we email you — never upload a W-9, SSN or EIN through the app, deal listings or support messages. We do not store completed tax forms in the AdZoo application; we record only the date the form was received and verified.
  • If we pay you at or above the IRS reporting threshold in a calendar year we will issue a Form 1099. You are responsible for reporting and paying tax on your commissions.
  • Income is not guaranteed. Any figures shown in the dashboard or marketing pages are illustrations, not promised results. You are responsible for your own expenses and taxes.
  • You must disclose that you may earn a commission whenever you share your referral link, and you must follow the marketing rules in our Acceptable Use Policy.
  • We may change the commission rate, eligible plans, holding period or payout minimum with notice; changes apply to commissions earned after the change.
  • Fraudulent, misleading or abusive referral activity voids unpaid commissions and closes the ambassador account.

11. Our intellectual property

The AdZoo name, logo, tagline, software, design and compiled data are owned by AdZoo. These terms grant you no right to use them except as needed to use the service or to share listings using the tools we provide.

12. Fair placement — no paid priority

Placement in the AdZoo feed cannot be bought. Every live deal is ordered by relevance to the shopper — what they searched for, how close the storefront is, and what they have shown interest in — combined with an even rotation that changes throughout the day so that no listing permanently occupies the top of the grid.

We do not sell premium placement, sponsored slots, boosted listings, bidding or any other way to pay for a better position, and a higher-priced membership does not rank your deals above anyone else's. A larger plan lets you run more deals at once; it does not improve where any one of them appears. To keep the grid varied, one deal per business is shown before a second deal from the same business.

13. No guarantee of results

AdZoo is an advertising and discovery platform, not a sales channel. A membership buys you placement in the AdZoo feed — it does not buy sales, foot traffic, clicks, impressions, leads, ranking position or any particular level of exposure, and we make no promise or estimate of any of them. Results depend on your offer, pricing, photos, category, location, competition, seasonality and shopper demand, all of which are outside our control.

Membership fees pay for access to the platform for the billing period and are not contingent on performance. Except where a refund is required by law, fees are not refundable because a deal did not sell, a listing did not attract views, or a business did not gain customers. Any figures we publish about audience, traffic or typical results are illustrative only and are not a forecast or a warranty.

14. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any listing is accurate, that a deal will be honored, or that the service will be uninterrupted or error-free. Distances, travel times and location results are estimates.

15. Limitation of liability

To the maximum extent permitted by law, AdZoo will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) US$100. Some jurisdictions do not allow these limits, in which case they apply to the fullest extent permitted.

16. Indemnity

You agree to indemnify and hold AdZoo harmless from claims, damages and reasonable legal fees arising from your listings, your transactions with shoppers or businesses, or your breach of these terms.

17. Termination

You may stop using the service at any time; businesses may cancel from their account. We may suspend or terminate access for breach of these terms or where required by law. Sections that by their nature should survive termination — content licence for archived listings, disclaimers, liability limits, indemnity and dispute resolution — survive.

18. Governing law and disputes

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the courts located in San Diego County, California, unless mandatory local consumer law gives you the right to sue elsewhere. 19. Changes

We may update these terms; the "Last updated" date will change and material changes will be notified in-product or by email. Continued use after the effective date means you accept the revised terms.
